These General Terms and Conditions (GTC) apply to all contracts between

(hereinafter referred to as the “Contractor”)
and its clients (hereinafter referred to as the “Client”) relating to services in the fields of web development, TYPO3 development, Shopware development, programming, consultancy and associated digital services.
Any terms and conditions of the Client that differ from these shall only apply if they have been expressly agreed to in writing.
The Contractor shall provide bespoke services in the following areas:
The specific scope of services is set out in the relevant quotation, the service specification or the individual agreement.
A contract is concluded upon acceptance of a written quotation or by an express commission from the client.
Unless otherwise stated, quotations are valid for a period of [e.g. 30 days].
Any changes to or additions to the scope of services require a separate agreement.
The client shall provide all information, content, access details and materials necessary for the implementation of the project in good time.
Delays resulting from a lack of or delayed cooperation on the part of the client may lead to adjustments to timetables and costs.
The Client is responsible for ensuring that any content, images, texts and other materials provided are free from third-party rights.
Remuneration shall be paid in accordance with the agreed quotation.
Unless otherwise agreed, invoices are payable without deduction within 14 days of the invoice date.
For larger projects, an advance payment or a partial invoice may be agreed.
In the event of late payment, the statutory provisions shall apply.
Subsequent changes to the agreed scope of services will be invoiced separately.
This applies in particular to:
In the case of bespoke services, acceptance shall be carried out by the client.
The client undertakes to review the services provided within a reasonable period of time.
If no material defects are reported within [14 days] of delivery, the service shall be deemed to have been accepted.
The contractor warrants that the agreed services will be provided in accordance with the service specification.
In the event of justified defects, the client shall initially have the right to request rectification.
Due to technical constraints, there is no guarantee that complex software will be free from errors.
The Contractor shall be liable without limitation in cases of wilful misconduct and gross negligence, as well as for damage resulting from injury to life, limb or health.
In cases of slight negligence, the Contractor shall only be liable for breaches of material contractual obligations.
Liability for consequential damages, loss of profit or lost savings is excluded to the extent permitted by law.
Upon full payment, the Client shall receive the agreed rights of use to the individually created work products.
The disclosure of source code, concepts or development work to third parties requires a separate agreement.
Existing software components, frameworks, libraries, open-source components and the Contractor’s own development tools remain the property of the Contractor or are subject to the respective licence terms.
Open-source components may be used during development.
These are governed exclusively by the respective licence terms of the software used.
The Contractor accepts no liability for changes or restrictions imposed by external providers.
Unless expressly agreed otherwise, domain registration, hosting, SSL certificates, third-party services and external licences are not included in the scope of the service.
No liability is accepted for service interruptions or changes caused by external providers.
Both parties undertake not to disclose the other party’s confidential information to third parties and to use it exclusively for the purpose of performing the contract.
The law of the Federal Republic of Germany shall apply.
Should any provision of these General Terms and Conditions be invalid, this shall not affect the validity of the remaining provisions.
